Form 1120-S is used to report gains, losses, income, credits, and deductions of an entity that is elected to be an S corporation. This election is completed by filing Form 2553, which must be approved by the IRS to become valid.

### Who Should Use Form 1120-S?

All corporations and entities that elected to become S corporations should use Form 1120-S to fulfill their tax-related obligations. However, it’s important not to file this form if you haven’t received a confirmation that Form 2553 was accepted. If two months have passed since you filed it and you still have no answer, contact the IRS.

### When Is Form 1120-S Due?

Form 1120-S due date is by the 15th day of the 3rd month after the end of the S corporation’s tax year. For calendar year corporations, this is March 15th annually. However, if this date falls on a weekend or a national holiday, the deadline is pushed to the next business day.

### What Happens If Form 1120-S Is Not Submitted?

If Form 1120-S isn’t submitted, your corporation will face late filing penalties. These are as follows:

- If no tax is due on a return, $255 for each month or part of the month the return is late, multiplied by the total number of shareholders for that tax year
- If tax is due, the amount stated above, plus 5% of the unpaid tax for each month or part of the month the return is late, up to a maximum of 25%
