### What Is Form 5472 Used For?

Form 5472 is used to report certain transactions between a U.S. reporting corporation and its foreign or domestic related parties, as required under Internal Revenue Code sections 6038A and 6038C. It generally applies to U.S. corporations that are at least 25% foreign-owned, foreign corporations engaged in a U.S. trade or business, and U.S. disregarded entities wholly owned by a foreign person.

### Who Should Use Form 5472?

A U.S. corporation with at least one direct or indirect 25% foreign shareholder generally must fill out Form 5472 if it had a reportable transaction with a foreign or domestic related party during the tax year.

The requirement also applies to foreign corporations engaged in a U.S. trade or business and to U.S. disregarded entities wholly owned by a foreign person when they have reportable transactions. A foreign-owned U.S. disregarded entity files Form 5472 with a pro forma Form 1120.

### When Is Form 5472 Due?

Form 5472 due date matches the reporting corporation's income tax return, i.e., April 15th for calendar-year filers; filing Form 7004 by that date extends the deadline to October 15th. Foreign-owned disregarded entities without another filing obligation follow the same schedule, using the 15th day of the fourth month after year-end, plus any extension.

If Form 5472 is not submitted, a penalty of $25,000 per form applies. If the failure continues more than 90 days after an IRS notice, another $25,000 applies for each related party for every 30-day period the delay persists.
